Terms of Service

1. Acceptance of terms

By creating a Weir account or using the Settle, Route, Sponsor, or Ledger APIs (the “Services”), you agree to these Terms of Service. If you use the Services on behalf of a company, you represent that you have authority to bind that company.

2. Description of service

Weir provides onchain settlement infrastructure, including token routing, stablecoin settlement, gas sponsorship, and transaction reconciliation, accessed through the Weir API and dashboard.

3. Accounts and API keys

You are responsible for safeguarding your API keys and for all activity under your account. Notify Weir immediately at security@weir.dev if you suspect a key has been compromised.

4. Fees and payment

Standard plan usage is billed at 0.12% per settled transfer. Enterprise plan fees are set in a separate order form. Fees are deducted from settled volume unless otherwise agreed in writing.

5. Acceptable use

You may not use the Services to facilitate fraud, money laundering, or any activity that violates applicable law. Weir may suspend an account showing patterns consistent with these violations.

6. Data and privacy

Weir processes account and transaction data as described in the Privacy Policy. You retain ownership of your data; Weir uses it only to provide and improve the Services.

7. Warranties and disclaimers

The Services are provided “as is.” Weir disclaims all warranties not expressly stated in an Enterprise order form, including implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of liability

Except for Enterprise SLA commitments, Weir’s liability under these terms is limited to the fees paid in the three months preceding a claim.

9. Termination

Either party may terminate for convenience with 30 days’ notice, or immediately for a material breach that remains uncured after 15 days’ notice.

10. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

11. Changes to these terms

Weir may update these terms and will post the updated date at the top of this page. Continued use of the Services after an update constitutes acceptance.
